Blue Cloud Softech Board Approves In-Principle Proposal to Acquire US-Based CareTech AI

New Delhi [India], August 25: Blue Cloud Softech Solutions Ltd has received in-principle approval from its Board of Directors to evaluate and negotiate the proposed acquisition of up to 100% equity in US-based healthcare technology company CareTech AI Inc., along with its wholly owned subsidiaries CareCareer Tech LLC and Envision NJ LLC.

The decision was taken at the Board meeting held on August 24, 2026. The proposed transaction is expected to be structured through a share swap via preferential allotment of equity shares of Blue Cloud Softech, subject to due diligence, independent valuation, a fairness opinion and necessary corporate, shareholder, stock exchange and regulatory approvals.

CareTech AI: US Healthcare Technology Platform

CareTech AI is a US-based, AI-first healthcare technology and services company focused on healthcare software, analytics, IoT applications, connected-care solutions and workflow automation.

Through CareCareer Tech LLC, the company operates an AI-enabled healthcare workforce platform serving acute, post-acute, behavioural health, school and correctional healthcare systems in the US. Its other subsidiary, Envision NJ LLC, provides enterprise automation and orchestration solutions.

The company operates across four key divisions: remote healthcare management, healthcare support and services, longevity centre technology, and AI-diagnostic centre solutions. Its technology stack includes artificial intelligence and machine learning, healthcare data analytics, IoT integration, cloud platforms, mobile applications and API-based architecture.

Revenue Estimated at $116 Million for CY2026

According to figures indicated by CareTech AI management, the Target Group reported consolidated revenue of approximately $80.2 million for calendar year 2025.

Revenue for the seven months ended July 31, 2026 stood at approximately $67.7 million, while management has estimated full-year calendar 2026 revenue at around $116 million.

The company has clarified that these figures are subject to independent verification as part of the due diligence process. CPA-reviewed financial statements are expected to be furnished to Blue Cloud Softech and its advisors.

CareTech AI’s operating footprint includes 5,000+ credentialed clinicians, 490+ active client sites and more than 80 government contracts, according to the company profile provided by management. Its client network covers hospitals, health systems, post-acute and rehabilitation facilities, correctional healthcare, behavioural health, schools and home-care services.

Strategic Fit for Blue Cloud Softech

The proposed transaction is positioned as a strategic combination of Blue Cloud’s healthcare technology capabilities with CareTech AI’s established US healthcare delivery network.

Blue Cloud has stated that the acquisition could provide an existing clinical channel through which its healthcare technology platforms, including BluHealth, could potentially be deployed across CareTech AI’s existing customer ecosystem.

The company sees potential synergies across healthcare screening, remote monitoring, workforce enablement, diagnostics and analytics. It also expects the combination to provide access to US healthcare workflows, clinical data and institutional relationships, subject to applicable regulatory and contractual requirements.

Potential Revenue and Market Expansion

According to the company’s strategic rationale, CareTech AI’s recurring institutional and government contracts could provide Blue Cloud with greater exposure to US-dollar healthcare revenue.

The proposed combination could also support the deployment of Blue Cloud’s healthcare technology platforms through CareTech AI’s existing contracts and workforce. The company has identified distribution, product development, recurring revenue, US healthcare contracting credentials, international expansion and an integrated healthcare technology platform as key potential sources of value from the transaction.

Blue Cloud also sees potential opportunities to transfer the combined technology stack into its healthcare programmes in India and Africa, particularly in areas involving clinician shortages and healthcare screening at scale.

Proposed Integration Roadmap

If the transaction progresses, the company’s indicative roadmap includes integrating BluHealth into the CareCareer clinician application and workflow, followed by pilot deployments at selected correctional and post-acute client sites.

During months six to 12, the company plans to explore broader screening deployment across existing customer accounts and develop AI-enabled credentialing and shift-matching capabilities. Between months 12 and 24, Blue Cloud expects to explore the launch of remote healthcare management and AI-diagnostic offerings across the CareTech AI customer base and potentially extend the technology into its India and Africa healthcare programmes.

Key Risks and Transaction Status

For investors, the transaction remains at a preliminary stage. No letter of intent, term sheet or binding agreement has been executed, and the consideration as well as the number of shares to be issued have not yet been determined.

The final transaction structure will depend on the valuation report of a SEBI-registered valuer, applicable pricing provisions and the completion of due diligence and regulatory processes.

Potential risks identified by the company include cross-border integration, healthcare and data regulations, shareholder dilution and post-deal selling. Blue Cloud has indicated that integration would focus primarily on technology, clinician workflows and the data layer, while compliance requirements would be addressed through a joint compliance function.

What Investors Should Watch

The proposed CareTech AI acquisition could represent a significant strategic move for Blue Cloud Softech, potentially shifting the company’s healthcare technology strategy towards an established US healthcare delivery ecosystem.

However, the proposal remains subject to several important milestones, including due diligence, independent valuation, fairness opinion, definitive agreements and regulatory and shareholder approvals.

For investors, the key triggers to monitor will be the final acquisition valuation, share-swap ratio, potential equity dilution, completion of due diligence and the conversion of CareTech AI’s existing healthcare network into technology-led revenue for Blue Cloud.

The company has also cautioned that the proposed transaction may not ultimately be completed on the terms currently contemplated, or at all.
